Texas High School Athletic Directors Association (THSADA)

1. Acceptance of These Terms
These Terms of Service (“Terms”) govern your access to and use of the website located at thsada.com (the “Site”), operated by the Texas High School Athletic Directors Association (“THSADA,” “we,” “us,” or “our”), as well as your participation in THSADA membership programs, events, and related services (collectively, the “Services”).
By accessing the Site, applying for membership, registering for an event, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Site or the Services.
2. Eligibility and Use of the Site
The Site and Services are intended for adult professionals in athletic administration and related fields. By using the Site, you represent that you are at least 18 years of age and have the authority to enter into these Terms, whether on your own behalf or on behalf of the school, district, or organization you represent.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful, personal, and professional purposes consistent with THSADA’s mission. We may suspend or terminate your access to the Site or Services at any time for conduct that violates these Terms or is otherwise harmful to THSADA, its members, or third parties.
3. Membership
- Applications and Dues: Membership in THSADA is subject to application, approval, and payment of applicable dues. Membership categories, benefits, and dues amounts are described on the Site and may change from time to time.
- Term and Renewal: Unless otherwise stated, memberships run for the membership term specified at the time of purchase and must be renewed upon expiration. Dues are non-refundable except as required by law or as expressly stated by THSADA.
- Member Responsibilities: You agree to provide accurate and current information in your membership application and to update your contact information as needed. Membership is individual to the named member and may not be shared or transferred except as permitted by THSADA policy.
- Suspension and Revocation: THSADA may suspend or revoke membership for conduct that violates these Terms, THSADA policies or codes of conduct, or that is detrimental to the association or the profession. Dues will not be refunded upon suspension or revocation for cause.
4. Event Registration, Payment, and Cancellation
- Registration: Registration for THSADA conferences, workshops, and other events is subject to availability, applicable fees, and any event-specific terms published at the time of registration.
- Payment: All fees are stated in U.S. dollars and are due at the time of registration unless otherwise arranged. Payments are processed by a third-party payment processor; by submitting payment you authorize the applicable charge.
- Cancellations and Refunds: Cancellation and refund deadlines for each event will be posted on the Site or in event registration materials. Requests received after the posted deadline may not be eligible for a refund.
- Event Changes: THSADA reserves the right to cancel, postpone, or modify any event. If THSADA cancels an event, registered attendees will receive a refund or credit of registration fees paid. THSADA is not responsible for travel, lodging, or other costs incurred by attendees.
- Photography and Recording: By attending a THSADA event, you consent to being photographed or recorded and to THSADA’s use of such photos and recordings for promotional and archival purposes, unless you notify us in writing that you decline.
5. User Conduct
When using the Site or participating in the Services, you agree that you will not:
- Violate any applicable law, regulation, or third-party right;
- Provide false, misleading, or fraudulent information;
- Use another person’s account or credentials, or allow another person to use yours;
- Harvest, scrape, or collect information about other members or Site users, including member directory information, for solicitation or any purpose unrelated to THSADA activities;
- Upload or transmit viruses, malware, or other harmful code, or attempt to interfere with the proper functioning of the Site;
- Attempt to gain unauthorized access to any portion of the Site, other accounts, or systems connected to the Site; or
- Use the Site or Services to harass, defame, or harm any person or organization.
6. Intellectual Property
The Site and all content on it — including text, graphics, logos, images, documents, publications, and software — are the property of THSADA or its licensors and are protected by copyright, trademark, and other intellectual property laws. The THSADA name and logo may not be used without our prior written permission.
You may view, download, and print content from the Site for your personal, non-commercial, professional use, provided you keep all copyright and proprietary notices intact. Any other reproduction, distribution, modification, or public display of Site content requires THSADA’s prior written consent.
If you submit content to THSADA (such as articles, photos, award nominations, or testimonials), you grant THSADA a non-exclusive, royalty-free, perpetual license to use, reproduce, and display that content in connection with THSADA’s programs and communications, and you represent that you have the rights necessary to grant that license.
7. Third-Party Websites and Services
The Site may contain links to third-party websites, including sponsor, vendor, and partner sites, and the Services may rely on third-party platforms such as payment processors and event registration tools. THSADA does not control and is not responsible for the content, policies, or practices of any third party. Your use of third-party websites and services is at your own risk and subject to their own terms and policies.
8. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THSADA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.
Content on the Site, including educational materials and presentations, is provided for general informational purposes only and does not constitute legal, financial, medical, or other professional advice. You should consult qualified professionals before acting on any information obtained through the Site or Services.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THSADA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF THSADA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THSADA’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO THSADA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
10. Indemnification
You agree to indemnify, defend, and hold harmless THSADA and its officers, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your misuse of the Site or Services, or your violation of any law or third-party right.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms, the Site, or the Services shall be brought exclusively in the state or federal courts located in [Fort Bend County], Texas, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will revise the “Last Updated” date at the top of this page and post the updated Terms on the Site. Material changes may also be communicated by email or Site notice. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
13. General Provisions
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: THSADA’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
- Entire Agreement: These Terms, together with the Privacy Policy and any event-specific or program-specific terms, constitute the entire agreement between you and THSADA regarding the Site and Services.
- Assignment: You may not assign these Terms without THSADA’s prior written consent. THSADA may assign these Terms in connection with any reorganization or transfer of its operations.
